Administrative and Corporate
We counsel companies, as well as joint ventures, partnerships, limited liability companies and individuals on a wide variety of commercial transactions. We are regularly involved in transactions concerning the disposition and acquisition of corporate assets and stock, intellectual property and technology licensing, manufacturing, distribution and vendor agreements, contract negotiation and drafting, corporate reorganizations and counseling start-up ventures.
Business Litigation and Counseling
We represent a number of small, medium and large businesses resolving their disputes through aggressive negotiation and litigation. We represent property owners, architects, contractors, franchisees, and a variety of other businesses protecting their legal rights involving contract claims, debt collection, construction claims, protection of intellectual property rights, shareholder and partnership issues, toxic torts, product liability suits, and property damage and personal injury claims in state and federal courts throughout Hawaii and California.
Collections
We prosecute suits in state and federal courts on behalf of our clients to recover obligations owed by debtors, and locate and identify debtors and their assets. These obligations have been based upon promissory notes, guaranties and other contracts, accounts receivables, money due and owing, and for services rendered (quantum meruit). We have recovered over five million dollars for our clients, including over three million dollars alone from a major health care insurer.
Construction
We represent architects, engineers, contractors and tradespersons in the preparation of contracts and other documentation for a variety of private and public projects. We also provide our clients with advice on interpreting and fulfilling their contractual obligations, and represent our clients in litigation, arbitration and mediation of construction disputes.

We assist clients in the acquisition, disposition, leasing and development of commercial and residential real estate. Our services include drafting purchase and sale agreements, development agreements, leases, and other real estate transactional instruments. We also represent our clients in litigation involving landlord/tenant disputes, foreclosure actions, construction claims, and disputes involving the purchase, sale, leasing and development of real estate
Mediation and Arbitration
Both Mr. Bushnell and Mr. Miller regularly participate on mediation, arbitration and other forms of alternative dispute resolution on behalf of their clients to achieve the clients' goals in a cost-efficient manner. Both Mr. Bushnell and Mr. Miller serve as appointed arbitrators for the Circuit Courts of the State of Hawaii.
Mr. Miller has served as a mediator for the United States Equal Employment Opportunity Commission and a number of local bar associations and community groups. He has successfully mediated numerous matters involving employment disputes, debt obligations, real estate, and business disputes. Mr. Miller has also frequently served as an arbitrator for fee disputes between lawyers and their clients. He was a member of the State Bar of California Committee on Mandatory Fee Arbitration, and served as Chair of the Committee from 2000-2001. He has trained hundreds of arbitrators for this program, and frequently spoke at statewide seminars on issues of fee disputes and legal ethics.
